CONSTITUTION There are three main Documents; Memorandum of Association (MOA) • Defines the Objectives • Defines the scope that the Company has for meeting those objectives • A requirement of Company Law for Limited Companies Articles of Association (AOA) • Defines the Governance Structure • A requirement of Company Law for Limited Companies Rules and Regulations (R&R) • Defines how the organisation manages its business (very little to do with Company Law) S ERVE, AC t and U nite United by Motorcycles
GOVERNANCE Established in 1913 the SACU has functioned for more than 100 years. Testament to the good Governance of those who have gone before us and the continuing challenge to those that follow. Good Governance = Member Satisfaction The SACU is our governing body, representing and servicing our needs in accordance with our Constitution. We have the choice of who manages our interests and how they are managed. We consider our needs when we make our choices. Our Constitution sets out how all this is done, including how change is processed, so the starting point for change is having some understanding of the Constitution as it currently stands. The SACU What is the SACU ? The SACU is Motorcycle Sport in Scotland The new logo says it all. (Identity) Who are the SACU ? A Union of its Members, managed to serve us, act on our behalf and unite all our common interests in motorcycling. The Mission Statement says it all. OBJECTIVES (PURPOSE) As stated in the Memorandum of Association 1. To acquire , assume and take over all of the assets and liabilities, rights and obligations of the Scottish Auto ‐ Cycle Union , 28 West Main Street, Uphall, West Lothian. 2. To draft , propose, make and administer rules and regulations for the government of motorcycling as a sport in Scotland as an affiliated National Club of the Auto ‐ Cycle Union. 3. To promote , foster and encourage the participation in and the appreciation and enjoyment of motorcycling in general. 4. To authorise , regulate, promote, organise and sponsor motorcycle teams, contests, competitions and events of all kinds. 5. To prepare, maintain and adjudicate upon motorcycling records and registers and to issue licences and permits to persons or bodies connected with motorcycling. 6. To act on its own behalf or on behalf of members or motor ‐ cycling in general with regard to any matter which may seem to be detrimental to the objects of the Company or motor ‐ cycling in general and to promote defend and safeguard all of the rights and privileges of the Company or its members or motor ‐ cycling or motor ‐ cyclists in general. 7. And to manufacture, buy, sell, maintain and otherwise deal in any article or thing and offer any service capable of being used or utilised for all or any of the foregoing objects of the Company or likely to be required by members of or persons having dealings with the Company. MANAGEMENT STRUCTURE Governance (Management) Structure as defined by the Articles of Association 1. Members – Definition of types, scope and role 2. Meetings – Type, calling of and proceedings 3. Voting Rights – Members, Directors and others 4. Directors – Powers, Rotation, Disqualification, Quorum and Chairing 5. Notices – As issued for meetings 6. What Next ? A significant amount of review work has been done already Including picking through the 2006 Companies Act and back tracking over historic Amendments approved at previous AGMs. 1. The next stage is to bring it all together (as a few of us are involved) in a manner that clearly shows the current Constitutional Documents alongside draft up to date amended versions. 2. Management will review these for majority acceptance ahead of them going out to Members for comment and feedback. 3. Member comments will be incorporated where applicable and any fresh ideas noted for going out for further Member consideration and comment. 4. The final step will be to issue the Proposed Amended documents in the form expected to get majority Member support as a single Motion for Amendment to be voted on at an EGM or AGM.
