  2. 1 Florida Chapter, American College of Surgeons 2 Annual Business Meeting 3 Saturday, April 7, 2018 4 5 DRAFT 6 7 CALL TO ORDER Patricia Byers, MD, President, called the Florida 8 Chapter of the American College of Surgeons 9 (Chapter) annual business meeting to order at 10 5:32 PM EST. 11 12 SECRETARY’S REPORT John Armstrong, MD, Secretary, presented the 13 minutes of the 2017 Annual Business Meeting. A 14 motion was made to approve the 2017 Annual 15 Business Meeting minutes. 16 17 MOTION 18-04-01 MOTION ADOPTED TO APPROVE THE 2017 18 ANNUAL BUSINESS MEETING MINUTES. 19 20 TREASURER’S REPORT Deepak Nair, MD, Treasurer, presented the 21 Treasurer’s report. Dr. Nair reported that the 22 Chapter had $147,348.42 in checking as of April 23 4, 2018 and the majority of the expenses for the 24 annual meeting remain outstanding. 25 26 BYLAWS UPDATE Patricia Byers, MD presented the proposed 27 Bylaws updates from the Bylaws Review 28 Committee. Dr. Byers reported that the Bylaws 29 Review Committee sought to ensure currency, 30 consistency with ACS policy, and legal accuracy 31 in its review. A motion was made to adopt the 32 proposed bylaws. A motion to amend Article IV, 33 Section for of the proposed bylaws: 34 35 Section 4—Role, Election and Term of 36 Office of the Councilors. Four 37 Councilors shall serve as elected liaisons 38 between the College Committee on 39 Applicants regions and the Chapter. 40 There shall be one Councilor per College 41 Committee on Applicants region within 42 the College-determined boundaries of 43 the Florida Chapter and who lives in that 44 region. There shall be two at-large 45 Councilors of the Florida Chapter 46 without geographic contingency. At the 47 annual meeting, a Councilor may be 48 elected for up to a three-year term by a 49 majority of the members voting at the 1

  3. 50 annual meeting. Among the six 51 Councilors, the initial terms shall be 52 staggered, two for one year, two for two 53 years, and two for three years. A term 54 shall be by length, not by name. A 55 Councilor may serve no more than six 56 years total as Councilor and may not 57 serve concurrently as a Governor. 58 Councilors shall be recommended by the 59 Chapter for membership on their 60 respective local Committees on 61 Applicants. As members of the 62 Committees on Applicants in their 63 respective regions, Councilors shall 64 participate in the interview process of 65 prospective Fellows. A Councilor serving 66 before the adoption of these bylaws may 67 serve on the Council until the 68 completion of the elected term. 69 70 MOTION 18-04-02 MOTION ADOPTED TO AMEND ARTICLE IV, 71 SECTION FOR OF THE PROPOSED BYLAWS. 72 73 MOTION 18-04-03 MOTION ADOPTED TO PROPOSED BYLAWS, AS 74 AMENDED. 75 76 77 NOMINATING COMMITTEE Joseph Gallagher, MD, President, presented the 78 Nominating Committee report on behalf of 79 Jaime Membreno, MD, Immediate Past 80 President. The following Officers were presented 81 for election for the 2017-2018 term: 82 83 President: Christine Laronga, MD 84 President-Elect: John Armstrong, MD 85 Secretary: Deepak Nair, MD 86 Treasurer: Jay Redan, MD 87 88 Patricia Byers, MD will automatically assume the 89 role of Immediate Past President upon election 90 of a new president. 91 92 The following Councilors were presented for 93 election with the corresponding term: 94 95 1. Dr. Laronga 172 briefly accepted the impending role as President. 173 174 ACS FOUNDATION REPORT Patricia Numann, MD presented a report on 175 behalf of the American College of Surgeons 176 Foundation. 177 178 ADVOCACY DAYS UPDATE Mark Dobbertien, DO reminded the membership 179 of the upcoming 2019 Advocacy Day program 180 scheduled for January 29-30, 2019 and invited 181 the membership to attend. 182 183 ADJOURNMENT There being no further business to discuss, the 184 meeting was adjourned by Dr. Byers at 6:04 PM 185 ET. 4
