  4. PUBLIC ‐ PRIVATE PARTNERSHIP ‐ P3 Contract Overview • Design ‐ Build ‐ Finance ‐ Operate ‐ Maintain Concession Agreement • 35 ‐ year contract between FDOT & MAT Concessionaire • Design and Construction period is 55 months • Operation and Maintenance period is the remaining 30+ years

PUBLIC PRIVATE PARTNERSHIP – P3 Payments during O&M • Upon Tunnel opening, FDOT begins making availability payments adjusted yearly for inflation • Maximum Availability Payment $32.5M/yr • Payment is subject to reduction if Tunnel not operational during required hours • Contract includes ‘Handback’ requirements to ensure Tunnel is returned to FDOT in first ‐ class condition

PUBLIC PRIVATE PARTNERSHIP – P3 FUNDING THE POMT Project Funding • FDOT contributing 50% of capital cost • Miami ‐ Dade County contribution $257M • City of Miami contribution $50M • R/W donations (County & City) $50M • FDOT funding Tunnel Operations & Maintenance from statewide maintenance funds (about $200 million over 30 years)

  7. SCOPE OF WORK Shifting of Eastbound MacArthur Causeway Modification of Dodge Island Roadway System MacArthur Causeway Bridge Widening New Tunnel Under Government Cut

PROJECT STATUS: Watson Island • Construction of New Parrot Jungle Trail is 90% Complete • Widening and Shifting of MacArthur Causeway is underway • Site Installation Permits for Support Operations under Bridge: • Water Treatment Plant • Concrete and Grout Batch Plant • Cooling and Power Systems • Mechanic Shop • Barge to Receive Spoils

  9. PROJECT STATUS: MacArthur Causeway Bridge • Widening of MacArthur Bridge for Tunnel Traffic • Widening of the Median for Launching Pit – Tunnel Starting Point • Tunnel Support Operations located below Bridge

PROJECT STATUS: Dodge Island • 60% Roadway Design Plans are under review process • Exploratory Geotechnical Borings are being performed and analyzed • Sub ‐ sea Ground Investigation being performed in Channel • Utility Relocation & Demolition work scheduled for Nov. 2010 • Ongoing Stakeholder Meetings with Cruise, Cargo & Port Reps

  11. TUNNEL BORING MACHINE • Tunnel Boring Machine (TBM) is currently being designed and fabricated in Germany. • 41’ diameter & +600 ft. long train • Expected Arrival is scheduled for May 2011 • EB Bore to begin September 2011 • Completion of WB Bore Spring 2013

  12. TUNNEL VERTICAL ALIGNMENT & SECTION • Tunnels are 3900 ft. long • +40 ft. under the Bottom of Channel • 5% Grade • Precast Lining Segments fabricated Off ‐ Site

CONSTRUCTION SCHEDULE • October 15, 2009 – Financial Agreement reached • May 24, 2010 – Construction began on Watson Island • Spring 2011 – Arrival of TBM in Miami • Summer 2011 – Beginning of eastbound tunnel boring • Spring 2012 – Completion of eastbound tunnel • Spring 2013 – Completion of westbound tunnel • Spring 2014 – Completion of Dodge Island roadway improvements • May 15, 2014 – Grand opening of the Port of Miami Tunnel *THESE DATES ARE SUBJECT TO CHANGE BASED ON THE CONSTRUCTION SCHEDULE

  14. MAINTENANCE OF TRAFFIC (MOT) •Weekly MOT releases •Full ‐ time Communications Manager •Full ‐ time Traffic Manager •Full ‐ time Health & Safety Manager •Emergency Response vehicles •Live Cameras (Sunguide.org)

TRAFFIC CONTROL RESTRICTIONS: DODGE ISLAND • Contractual Obligation to Maintain Dodge Island Traffic during Construction – Traffic control restrictions • Heavy construction must not interfere with the cruise traffic periods • No construction traffic hauling operations from 6am to 6pm between Friday and Monday (inclusive) • With the exception of one ‐ time movements, no operations along North America Way adjacent to the cruise terminals • One ‐ time movements may only occur during non ‐ peak cruise days and they need to be coordinated and approved by the Port in advance

TRAFFIC CONTROL RESTRICTIONS: DODGE ISLAND • Contractual Obligation to Maintain Dodge Island Traffic during Construction – Traffic control restrictions • Heavy construction must not interfere with the peak cargo traffic periods. • No construction traffic hauling operations from 6am to 6pm between Friday and Monday (inclusive). • With the exception of one ‐ time movements, no operations allowed along North America Way. • One ‐ time movements may only occur during non ‐ peak days and they need to be coordinated and approved by the Port in advance.

TUNNEL BORING RESTRICTIONS: VESSEL MOVEMENTS • Contractual Obligation to Maintain Dodge Island Traffic during Construction – Vessels movements • Tunnel Boring Machine (TBM) cannot operate within 100 ft. of a moored cruise ship. • Project is limited to North Channel. • No interruptions of scheduled vessel movements in the ship channel and in the turning basin beyond agreed construction windows (to be coordinated with the Port). • All tunnel construction will occur underground with minimal impact to the channel.
