Outcome ¡ We ¡found ¡a ¡few ¡places ¡where, ¡aTer ¡our ¡conversa2ons ¡and ¡receiving ¡your ¡ • feedback, ¡we ¡suggested ¡changes ¡to ¡the ¡cons2tu2on. ¡ ¡ – These ¡are ¡rather ¡trivial ¡changes, ¡summarized ¡in ¡a ¡back-­‑up ¡slide ¡ – Fernanda ¡did ¡some ¡digging ¡into ¡the ¡cons2tu2on. ¡The ¡term ¡“member” ¡at ¡2mes ¡ refers ¡to ¡a ¡UEC ¡member ¡and ¡at ¡2me ¡refers ¡to ¡a ¡user. ¡The ¡term ¡“general ¡ mee2ng” ¡seems ¡to ¡refer ¡to ¡both ¡UEC ¡mee2ngs ¡and ¡full ¡user ¡mee2ngs. ¡ ¡ – Based ¡on ¡Fernanda’s ¡research ¡it ¡appears ¡that ¡cons2tu2on ¡changes ¡must ¡be ¡ approved ¡by ¡2/3 ¡of ¡ users ¡who ¡vote, ¡not ¡ UEC ¡members . ¡Given ¡the ¡trivial ¡ nature ¡of ¡our ¡suggested ¡changes, ¡we ¡do ¡not ¡suggest ¡moving ¡forward ¡with ¡ these ¡cons2tu2onal ¡changes ¡now. ¡ ¡ – We ¡can ¡consider ¡going ¡over ¡the ¡cons2tu2on. ¡It’s ¡lacking ¡clarity ¡in ¡many ¡places! ¡ We ¡found ¡many ¡gaps ¡in ¡procedures ¡that ¡could ¡benefit ¡from ¡a ¡policy, ¡but ¡ • that ¡would ¡overly ¡burden ¡the ¡cons2tu2on ¡ – We ¡propose ¡a ¡“UEC ¡Policies” ¡set ¡of ¡documents ¡that ¡could ¡be ¡linked ¡from ¡a ¡ UEC ¡Policies ¡web ¡page ¡ – We ¡suggest ¡that ¡policies ¡be ¡adopted ¡or ¡removed ¡requiring ¡2/3 ¡vote ¡of ¡present ¡ (in ¡person ¡or ¡via ¡video ¡link) ¡UEC ¡members ¡plus ¡proxies ¡to ¡adopt ¡a ¡policy ¡that ¡ would ¡then ¡be ¡placed ¡in ¡the ¡“Policies” ¡area. ¡ Plan ¡for ¡Friday, ¡May ¡4 ¡to ¡vote ¡on ¡Policies ¡ 3 ¡

Vo2ng ¡Process ¡for ¡Today ¡ • The ¡discussion ¡period ¡is ¡brought ¡to ¡a ¡close ¡with ¡a ¡ mo2on ¡that ¡includes ¡the ¡precise ¡wording ¡of ¡the ¡policy ¡ that ¡will ¡be ¡voted ¡on, ¡followed ¡with ¡a ¡second. ¡ ¡ • Vo2ng ¡will ¡be ¡anonymous ¡ – on ¡a ¡slip ¡of ¡paper ¡for ¡those ¡in ¡the ¡room ¡ – via ¡email ¡for ¡those ¡connected ¡remotely ¡ – via ¡proxy ¡for ¡those ¡who ¡cannot ¡abend ¡and ¡who ¡arranged ¡ for ¡a ¡proxy, ¡with ¡emailed ¡no2fica2on ¡to ¡the ¡chair, ¡in ¡ advance ¡of ¡the ¡mee2ng ¡ • The ¡tally ¡will ¡be ¡done ¡by ¡an ¡administrator ¡who ¡works ¡ with ¡the ¡UEC ¡ • A ¡minimum ¡of ¡2/3rds ¡of ¡vo2ng ¡members ¡is ¡required ¡ for ¡a ¡policy ¡to ¡be ¡adopted ¡ 5 ¡

Crea2on ¡of ¡UEC ¡Policy ¡Documents ¡ • Vote ¡on ¡whether ¡or ¡not ¡to ¡adopt ¡UEC ¡policies ¡ with ¡a ¡2/3 rd ¡majority ¡of ¡vo2ng ¡members ¡ required ¡for ¡passage. ¡The ¡policy ¡documents ¡ can ¡be ¡adopted ¡or ¡removed ¡with ¡votes ¡by ¡the ¡ UEC ¡and ¡will ¡be ¡posted ¡on ¡the ¡UEC ¡webpages, ¡ publicly ¡available ¡to ¡all ¡Users. ¡ ¡ 6 ¡

Policy: ¡Procedure ¡for ¡UEC ¡Chair ¡Elec2on ¡ ¡ Suggested ¡Policy: ¡ 1) The ¡process ¡will ¡be ¡overseen ¡by ¡the ¡previous ¡term’s ¡UEC ¡Chair. ¡If ¡he/she ¡is ¡running, ¡ ¡ have ¡process ¡overseen ¡by ¡the ¡previous ¡term’s ¡secretary. ¡ ¡ 2) ¡All ¡con2nuing ¡and ¡elected ¡UEC ¡Members ¡are ¡eligible ¡to ¡run ¡for ¡UEC ¡Chair. ¡ ¡ 3) ¡Two ¡weeks ¡before ¡first ¡mee2ng ¡of ¡newly ¡elected ¡UEC, ¡UEC ¡members ¡solicit ¡chair ¡ nomina2ons, ¡including ¡self-­‑nomina2ons, ¡to ¡be ¡sent ¡to ¡the ¡member ¡overseeing ¡the ¡elec2on. ¡ ¡ ¡ 4) ¡One ¡week ¡before ¡first ¡mee2ng, ¡vision ¡statements ¡from ¡candidates ¡running ¡for ¡UEC ¡Chair ¡ are ¡sent ¡to ¡full ¡UEC ¡Membership. ¡ ¡ 5) ¡At ¡the ¡vo2ng ¡mee2ng, ¡which ¡is ¡the ¡first ¡mee2ng ¡of ¡the ¡newly ¡elected ¡UEC, ¡candidates ¡ ¡ leave ¡the ¡room ¡so ¡that ¡remaining ¡UEC ¡members ¡can ¡discuss. ¡ ¡ ¡ 6) ¡Vo2ng ¡begins ¡with ¡a ¡mo2on ¡and ¡a ¡second. ¡ ¡ 7) ¡Vo2ng ¡is ¡anonymous. ¡Slips ¡of ¡paper ¡can ¡be ¡used, ¡and ¡those ¡abending ¡remotely ¡can ¡send ¡ email ¡in ¡real-­‑2me ¡to ¡a ¡non-­‑UEC ¡member ¡providing ¡administra2ve ¡support. ¡Those ¡unable ¡to ¡ abend ¡in ¡person ¡or ¡remotely ¡may ¡designate ¡a ¡proxy ¡prior ¡to ¡the ¡mee2ng. ¡ ¡ ¡ 8) ¡Coun2ng ¡is ¡done ¡by ¡a ¡non-­‑UEC ¡administra2ve ¡support ¡person ¡immediately ¡following ¡the ¡ ¡ vote, ¡assisted/verified ¡by ¡member ¡overseeing ¡the ¡elec2on. ¡ ¡ 9) ¡In ¡the ¡case ¡of ¡a ¡2e, ¡the ¡out-­‑going ¡chair ¡casts ¡the ¡2e-­‑breaking ¡vote. ¡ 7 ¡ ¡ ¡

Policy: ¡Forming ¡a ¡new ¡UEC ¡sub-­‑commibee ¡ New ¡sub-­‑commibees ¡can ¡be ¡created ¡with ¡the ¡approval ¡by ¡2/3 ¡of ¡the ¡UEC ¡through ¡the ¡ ¡ process ¡of ¡an ¡anonymous ¡vote. ¡A ¡UEC ¡member ¡must ¡present ¡the ¡goals ¡and ¡func2on ¡of ¡the ¡ ¡ new ¡subcommibee ¡formally ¡in ¡a ¡UEC ¡mee2ng. ¡The ¡vote ¡will ¡occur ¡at ¡a ¡2me ¡designated ¡by ¡ the ¡UEC ¡chair ¡in ¡consulta2on ¡with ¡the ¡presen2ng ¡member ¡with ¡the ¡s2pula2on ¡that ¡there ¡will ¡ ¡ be ¡at ¡least ¡one ¡month ¡between ¡the ¡ini2al ¡UEC ¡presenta2on ¡and ¡the ¡UEC ¡vote. ¡ Policy: ¡Re2ring ¡a ¡UEC ¡sub-­‑commibee ¡ Sub-­‑commibees ¡can ¡be ¡re2red ¡with ¡the ¡approval ¡of ¡2/3 ¡of ¡the ¡UEC ¡through ¡the ¡ ¡ process ¡of ¡an ¡anonymous ¡vote. ¡A ¡UEC ¡member ¡must ¡present ¡the ¡mo2va2on ¡for ¡re2ring ¡a ¡ ¡ subcommibee ¡formally ¡in ¡a ¡UEC ¡mee2ng ¡with ¡the ¡vo2ng ¡occurring ¡no ¡earlier ¡than ¡the ¡ ¡ following ¡UEC ¡mee2ng. ¡ ¡ 8 ¡
