  3. Kendal Snowsports Club – a CASC •KSC is a CASC •The Club does not exist legally •The trustees ‘own’ the assets on behalf of the Club •The Committee manage the Club day to day

  4. Kendal Snowsports Club – a CASC We have insurance BUT…. •Insurance companies seek to avoid losses •The Club has widened its activities •The Club is planning further expansion

  5. Kendal Snowsports Club – a CIO •Therefore, it is suggested the club move to an incorporated status

  6. Kendal Snowsports Club – a CIO •This will be a Charitable Incorporated Organisation (CIO) •It will have limited liability •This protects the officers and members of the club

  7. Kendal Snowsports Club – a CIO •The trustees and Committee unanimously support the change •The existing trustees will stay if they wish in the new format

  8. Kendal Snowsports Club – a CIO •The aims and purpose of the Club will remain unchanged •The constitution will need minor legal changes - if the change is approved a new version will be available for consideration

  9. Kendal Snowsports Club – a CIO This will require two step process: •The creation of a new legal entity, the CIO, with a name very similar to that which we now have. •The transfer of the assets to the new legal entity and the dissolution of the current CASC status

  10. Kendal Snowsports Club – a CIO Major benefits of operating as a CIO: •Limited liability status •Ease of entering into contracts •Access to ‘charitable’ funding •Simpler succession management for trustees

Kendal Snowsports Club – a CIO Motion put to the Membership of Kendal Snowsports Club (the Club ) The Committee puts before the members at an Extraordinary General Meeting of the Club on 26th March 2020, that the Membership of the Club resolves to provide the Committee of the Club with a mandate to: 1. F orm a Charitable Incorporated Organisation (CIO) with objects compatible with the Club; 2. T ransfer all property and assets of the Club to the CIO; 3. S ubsequently dissolve the Club; 4. A uthorise the members of the Committee to do and sign such things and documents in the name of and on behalf of the Membership as were necessary to implement the above steps and to instruct the trustees holding property on behalf of the Membership to act in accordance with the above steps. The above motion must be approved by a two-thirds majority of the Membership present (in a virtual capacity) at the Extraordinary General Meeting.
