The Nomination Committee o Composition – A chairman and 3 members appointed by the Board. o Qualifications for appointment – Not eligible if the person is a candidate for election to the Board or is domiciled in a region whose seat is open for renewal during an election. o Main responsibilities - Find candidates for the election of the directors of AFRINIC; and have general responsibility for as well to supervise the conduct of the polls by the election Committee on election day. www.afrinic.net | slide 27

The Governance Committee o Composition – Consists of two (2) members appointed by the Board, three (3) members elected by AFRINIC Membership, (1) Board member (non- voting) appointed by the Board as a liaison, the AFRINIC legal adviser (non-voting) and (1) or more members from the Secretariat (non-voting). o Elected at the AGMM o Main responsibilities - It advices the AFRINIC Board, AFRINIC Membership, & the community, on matters of corporate governance www.afrinic.net | slide 29
