  3. „ Softball WA in conjunction with WA Sports Federation developed a Member Screening Procedure. „ Intention is to keep not only to provide safe environments for kids but also to protect all members. „ All sports in WA are going through the development of procedures that best aligns with the sports level of risk and resource availability. „ Feedback being sought until 30 November 2016 – Practical Application „ Then seek Board Approval at December or January meeting. 3

Key summary: „ Net overall surplus for FY16 - $18,084. „ Retained profit (cash available due to Facilities grants carried over). „ Increase in nomination and registration fees is direct result of increased individual registration numbers. „ Increase in Team Levy is result of increased number of State Teams. „ Wages and salaries increase due to now having to pay for a CEO and other staff now contracted rather than honorariums or service contract. 4

  22. Classes of Membership – Rule 8.1 (pg. 4) Major change is clarity among the membership classes and what constitutes the membership class. This aligns to Rule 22.1 – voting rights. 22

  23. Voting at General Meetings – Rule 22.1 (pg. 17) „ Each affiliated associations receive one vote „ Each affiliated club receive one vote To be an affiliated club, you must be incorporated as a minimum as per Rule 8.1. 23

  24. Quorum at General Meetings „ Currently 51% „ Dropped to 33% Difficulty today and expected increase in affiliates due to clubs having the ability to affiliate. 24

  25. Board Composition – Rule 26.1 Currently we have: „ Six (6) Board members „ Up to two independent Board Members appointed by the Board „ Right to Co-opt to assist (no voting) Plan to move to Seven (7) to stop equal voting. 25

General Q & A Process for Feedback „ Feedback closes on 25 November 2015 „ Only accepted using the official Feedback Form „ Governance Committee – review feedback and make an necessary adjustments and present to Board „ Special General Meeting early next year to adopt (March Long Weekend at Junior State Championships). „ Lodge with Dept. of Commerce if adopted. 26
